We assist our corporate and individual clients in new and used aircraft and helicopter acquisitions, including fractional and co-ownership structures. Effective planning and structuring includes the implementation of effective tax mitigation, creation of appropriate exit strategies, and adherence with IRS, FAA, DOT and SEC regulations. We often assist our clients with operational, insurance, maintenance and refurbishment issues throughout the period of ownership and in the sale or replacement of the asset at the end of the ownership cycle, including IRS Section 1031 exchanges and parking arrangements.

  • Representation of buyers, sellers, brokers, dealers and lenders in whole and fractional aircraft transactions, both domestic and international
  • Negotiate and draft all aircraft transaction documents, including letters of intent, aircraft purchase and sale agreements, loan documents and security agreements, broker and escrow agreements, and 1031 like kind exchange agreements, including parking arrangements
  • Prepare and implement aircraft charter and lease agreements (wet, dry, finance and operational leases)
  • Representation of pilots, mechanics, and FAA Repair Stations through regulatory issues and certificate actions
  • Negotiate and draft, management, charter, hangar, maintenance, pilot services, agency and support agreements
  • Representation of the entities that own and operate airports and assist them in obtaining grants and other funding, establishing minimum standards documentation and dealing with the tenants and operators at their airports
  • Representation of the operators and tenants with their legal issues
  • Structure and oversight of non-citizen aircraft ownership trusts
